1. Services
HPM Nexus provides international trading and sourcing solutions based on individual client requirements. The specific scope of services, product specifications, pricing, payment terms, delivery conditions, responsibilities, and timelines will be confirmed separately for each transaction.
Information presented on our website, including product details, availability, prices, suppliers, and delivery estimates, is provided for general commercial purposes and may change without notice.
2. Commercial Transactions
Quotations and commercial proposals are subject to confirmation unless expressly stated otherwise. A transaction becomes binding only when the relevant commercial terms are confirmed through an applicable contract, purchase order, proforma invoice, or other written agreement.
Where applicable, delivery terms and transfer of risk shall be determined according to the agreed Incoterms®.
3. Suppliers and Third Parties
HPM Nexus may work with manufacturers, suppliers, freight forwarders, carriers, customs brokers, warehouses, insurers, and other third-party service providers.
We may conduct reasonable preliminary checks of suppliers and commercial information; however, unless expressly agreed in writing, such checks do not constitute a guarantee of a supplier’s performance, financial position, product quality, or future availability.
4. Client Responsibilities
Clients are responsible for providing accurate information, reviewing specifications and commercial documents, making payments on time, and ensuring compliance with applicable import, export, customs, licensing, tax, sanctions, and regulatory requirements.
5. Delivery and Force Majeure
Delivery dates are estimates unless expressly guaranteed in writing. HPM Nexus shall not be responsible for delays or losses caused by circumstances beyond its reasonable control, including transportation disruptions, customs procedures, governmental restrictions, sanctions, natural disasters, strikes, war, political events, or other force majeure circumstances.
6. Intellectual Property
All website content, including text, logos, graphics, images, designs, and trademarks, is owned by or licensed to HPM Nexus unless otherwise stated. Reproduction or commercial use without prior written permission is prohibited.
7. Limitation of Liability
To the maximum extent permitted by applicable law, HPM Nexus shall not be liable for indirect, incidental, special, or consequential losses arising from the use of the website or circumstances beyond our reasonable control.
Transaction-specific rights, obligations, warranties, and liabilities shall be governed by the applicable written commercial agreement.
8. Confidentiality
HPM Nexus respects the confidentiality of commercial information exchanged during business relationships. Where necessary, confidentiality obligations may be governed by a separate Non-Disclosure Agreement (NDA).
